Access and Use Agreement

DEFINITIONS:

“Address Authority” means a city, county or other organization that is recognized as the authority for a particular geographic area to assign and modify street addresses.

“Address Points Editing Tool” means web-based, geospatial software that cities or other local addressing authorities may use to create, view and edit address points and attribute data.

“Application” means Address Points Editing Tool.

“Hosting Organization” means a government entity located within Minnesota that is authorized to host the Address Points Editing Tool for use by User Organizations. Each has accepted responsibility to serve in the role of an aggregator of address point data for the MetroGIS Regional Address Point Dataset or a similar regional or state wide dataset (e.g., counties that elect to aggregate address point data produced by city addressing authorities, counties serving in the role of address authorities, or regional or state agency serving in a similar role).

“Authorized Third Party” means a Hosting Organization

“User Organization” means an Address Authority located within Minnesota that is granted a username and password for access to the Address Points Editing Tool and thereby is permitted to use it for internal business use, including contributing address data to the MetroGIS Regional Address Point Dataset or a similar regional or state wide dataset via a Hosting Organization.

“MetroGIS Regional Address Points Dataset” means a coordinated, metropolitan area-wide database of official address points for all occupiable units and any other official addresses.

“Metropolitan Council” means the metropolitan government entity with jurisdiction over the Minneapolis – St. Paul metropolitan area comprised by the seven counties of Anoka, Carver, Dakota, Hennepin, Ramsey, Scott and Washington pursuant to Minnesota Statutes section 473.121, with offices at 390 Robert Street North, Saint Paul, Minnesota 55101.

“MnGeo” means the Minnesota Geospatial Information Office pursuant to Minnesota Statutes section 16B.99 and responsible for coordinating the development, implementation, support and use of geospatial technology in Minnesota.

“Software” means the source code that has been or will be developed by North Point as part of the Address Points Editing Tool that is the subject of this agreement.

“Source Code” means a sequence of statements or declarations in human-readable computer programming language or the collection of files needed to convert from human-readable form to some kind of computer-executable form that constitutes the Software.

PURPOSE AND TERMS
North Point Geographic Solutions, LLC (North Point) and Metropolitan Council (“Council”), acting on behalf of the MetroGIS community, acknowledge that North Point grants to the Council , a royalty free and perpetual rights to use and deploy the Address Points Editing Tool (“Application”) and its source code limited by the following assumptions and restrictions:

  • The Council recognizes that North Point desires to restrict access to this work by any other third parties that are not explicitly provided access via this agreement.
  • North Point recognizes that the Council desires to freely distribute the Application to authorized third parties located within Minnesota for the purpose of hosting the application to developing and maintaining a MetroGIS Regional Address Points Dataset or a similar regional or state wide dataset. MnGeo and the Council may also host the Application either on behalf of some entities within Minnesota or in the capacity of an integrator of data that comprises the MetroGIS Regional Address Points Dataset or a similar regional or state wide dataset. Any further distribution of the Application is beyond the scope of this agreement.
  • North Point retains all intellectual property rights of the Application source code developed for this project and the right to re-use the source code in any future North Point project.
  • The Council and Authorized Third Parties have full access to the Application and its source code, with full authority to host the Application in their web production environment.
  • The Council and Authorized Third Parties may modify, extend, or otherwise alter the Application source code as desired. Under this Access and Use Agreement, North Point is not responsible for resolving any issues caused by the Council and Authorized Third Party alterations to the Application source code.
  • The Council will have full access to Application source code distribution and installation packages and will act as a broker for the distribution of the source code to Authorized Third Parties; any of these Authorized Third Parties may host the application for the purpose of address point collection and editing. Each of these Authorized Third Parties may modify, extend, or otherwise alter the application source code as desired. Authorized Third Parties are bound by the terms of this agreement. A copy of this Access and Use Agreement, signed by the Authorized Third Party, must be received by North Point before access to the source code will be given. Distribution of Application source code will be via the North Point web site. If for any reason North Point becomes unavailable or unable to distribute the source code or chooses to no longer be the distributor, the Metropolitan Council will receive the Access and Use Agreements and distribute the source code.
  • No third party contractor, consultant, or vendor will be given access to the Application source code without written consent from North Point. If for any reason North Point becomes unavailable or chooses to not accept and act on requests for consent, the Metropolitan Council may provide consent.
  • If any other entity desires access to the Application, or if hosting is to be extended beyond, the jurisdictions listed in this agreement, then appropriate licensing can be arranged with North Point outside of the scope of this agreement.
